PURPOSE

· Enable Cameroon Hub to “Beat Plan and Beat the Competition” creatively and ethically
· Act as a catalyst for business development within the regions outside Cameroon by proactively supporting the existing business ventures and proactively and efficiently managing the relationships and contracts with distributors in each market
· Ensure the Function’s activities are prioritised and the Function is staffed internally and externally to maximise Cameroon’s business objectives and performance.

QUALIFICATION AND EXPERIENCE REQUIRED

· Master University Degree in business law or related field.
· 5 - 10 years post qualification experience as a lawyer

ACCOUNTABILITIES

AsHead of Legal Department, you should be able to:

· Consistently act as a highly effective legal and business adviser. Stay particularly close to the GM, Regions’ Managers and the other Functional Heads.
· Embed functional best practice in all parts of Cameroon Hub. Ensure Compliance at all levels in the way the business is conducted within the Cameroon Hub territory
· As primary counsel to the Managing Director, provide proactive strategic, commercial and legal input to the MD and his leadership team. Review current processes and ways of working with the aim to embed proactive and commercial legal support for the company, agree any recommendations with the MD and implement necessary change.
· Company Secretariat duties include ensuring that Guinness Cameroon Board and General Meetings are properly called, held and minuted,all Registers are up to date and filings are made, and monitoring Boards’ representation in companies were Diageo olds minority shares
· Effectively manage and mentor all direct reports
· Prioritise and evaluate the best use of internal and external legal resources.
· Select and agree terms of business with external lawyers.
· Work closely with the Diageo Legal Function to take advantage of appropriate functional experience and support.

CAPABILITIES

You will need to have:

· Formal legal qualifications and training as required by law to work as a legal practitioner in Cameroon.
· Ability to communicate verbally and in writing in both English and French
· Strong commercial law background especially in the negotiation and documentation of commercial contracts relevant to Guinness Cameroon’s business and giving advice in relation to marketing, sales and promotion activities
· A good working knowledge of the following legal areas – product liability, IP, employment, antitrust and the responsibilities of a Company Secretary
· Strong, analytical, drafting and negotiating skills
· Open and outward looking attitude
· Strong interpersonal / communication skills
· Ability to work confidently and stand ground with more senior managers
· Strong commercial and pragmatic approach
· Strong coaching and leadership skills
· Ability to impact and influence upwards

The African Development Bank Field Office in Cameroon (CMFO) has been established to strengthen dialogue between the Bank and the government, development partners.

Objectives

The African Development Bank Field Office in Cameroon (CMFO) has been established to strengthen dialogue between the Bank and the government, development partners, the private sector, and the civil society, in the design of its development policy and programs, as well as on implementation, monitoring and evaluation of the poverty reduction strategy. CMFO also seeks to assist the operational functions of the Bank Group in launching and follow up of projects and programs in Cameroon with a view to enhancing portfolio quality, identification, promotion of participatory approach, and regional integration. CMFO invites applications from qualified candidates to fill in the following vacant position. This is national position and posting will be in Yaoundé, Cameroon.

Duties and responsibilities

Under the direction of the Resident Representative, the incumbent will be responsible of the following:

Manage Resident Representative’s calendar and schedule of meetings;
Make the necessary arrangements for the high level visitors and answer their questions with tact and discretion;
Prepare briefing materials used by the Resident Representative in his official travels and during special meetings;
Deal with protocol matters and organize Resident Representative meetings with the authorities of the host country; ensure coordination of official receptions given by the Resident Representative;
Participate in staff meetings, take minutes and write reports;
Perform unofficial translations and act as interpreter;
Coordinate the secretariat services of the Office; assign specific tasks to other secretaries and verify all correspondence signed by the Resident Representative
Advise other secretaries on working methods;
Write correspondence that does not address substantive issues and ensure monitoring;
Manage incoming and outgoing courier, phone calls; keep a proper archiving system
Handle the mission reports of the Resident Representative; ensure quality of documents requiring approval and / or signature of the Resident Representative;
Administer office staff’s personnel records; keep the Resident Representative and the Administrative and Finance Assistant informed by providing relevant information, reports and updates;
Draft/finalize correspondence on a range of topics on behalf of the Resident Representative and prepare minutes of meetings;
Perform other tasks as required.

Selection Criteria

Including desirable skills, knowledge and experience

The incumbent must hold :

At least a Bachelor’s degree or a ‘’Maîtrise’’ in Executive Secretariat or HND or Pitmans or RSA, for candidates who have studied under the Anglophone system
An additional qualification in office administration is a competitive advantage
He/she must possess at least 4 years of experience in Secretariat and Administration
He/she must have thorough knowledge and use of standard software used in the Bank, such as Word, Excel, Outlook, Access and PowerPoint. Knowledge of SAP R/3 will be an advantage
He/she must perfectly communicate in French and/or English, with a working knowledge of the other language

The African Technology Policy Studies Network (ATPS) is a leading regional multi-disciplinary network of researchers, practitioners and policy makers that promotes science, technology and innovation (STI) policy research, dialogue and practice, for African Development.

Its mission is to improve the quality of science, technology, and innovation research, policy and practice for sustainable development in Africa.

Working primarily through National Chapters in at least 25 African countries, ATPS supports science, technology and innovation capacity building for African development through knowledge generation; knowledge brokerage; knowledge dissemination & outreach; and knowledge valorisation.

Its research and training efforts focuses on building a culture of innovation to address topical and emerging development challenges in the continent including climate change, health care delivery, integrated management of environmental infrastructure including land, water, and biodiversity, etc for sustainable ecosystem services, community livelihoods, and poverty alleviation.

ATPS also support thematic and facilitative programs to broker the socialization of science and technologies in Africa through democratic governance of knowledge and technology sharing and the up scaling and down scaling of indigenous and emerging technologies (biotechnology, ICTs, nanotechnologies, etc) to facilitate equitable partnerships within the continent and beyond.

ATPS is seeking to recruit a dynamic individual to fill the position of Administrative Secretary to be based at its Secretariat in Nairobi, Kenya.

Reporting to the Finance and Administration Manager, he/she will be responsible for providing office administrative support to the team.

Major responsibilities will include the following;

Procurement of goods and services for the office in accordance to the laid down policies;Monitor the supply of materials in the office, including stationery, and replenish them from time to time as required;Administer petty cash and maintain the petty cash records;Handle all general insurance correspondence and arranging for renewals;Operate office equipment such as photocopier, fax machine, and coordinate the servicing of office equipments and motor vehicles;Assist with travel and accommodation arrangements for meetings and workshops;Maintain Finance and Administration department records through filing, retrieval, retention, storage, compilation, coding, updating and destruction;Handle Immigration matters for International staff and workshop participants;Distributes internal correspondence and documentation;Draft correspondence for the Finance and Administration department concerning the programs areas and other general correspondence;Maintain personnel records such as staff leave , NHIF, Medical and Insurance etcMaintain a calendar of the Finance and Administration department, schedule appointments for the Finance and Administration Manager and assign meeting rooms for ATPS meetings.Provide secretarial services to the Finance & Administration Manager;Arrange for office tea/ coffee/refreshments during meetings held in the secretariat;Required skills and qualifications
A degree in Business Administration with two years related experience;Ability to be consistently organized, diplomatic and conscientious;Ability to handle multiple tasks efficiently;Ability to manage a large volume of work independently, accurately and in a timely manner;Excellent written and spoken communication skillsStrong analytical skills;Excellent computer skills in MS Office Suite especially word processing and spreadsheetsThe vacancy is expected to be filled by 15 January 2011 but will be left open until a suitable candidate is found. The initial contract period will be for one year, renewable based on performance.
